Annual Election
of Officers and Directors

On September 24, 2010, the membership will be voting to fill positions on the AIA Board of Directors and Officers. We urge you to serve AIA in elected office. The positions are as follows:

President - 1 year term
Vice President - 1 year term
Treasurer - 2 year term
Two Directors positions - 2 year term, each

All elected candidates from the 2010 elections begin their term on January 1, 2011.

At the Membership Meeting to be held via Teleconference on September 24, 2010 at 6:30 p.m. MDT, members will vote to elect the open positions to the board. All active members will be sent teleconference dial in detais a week prior to the meeting and the day of.

If nominating someone else, please contact that member and ask them to submit their information.

For the election, please return your proxy in case you are unable to attend the Annual Membership Meeting. Your participation will be greatly appreciated and we understand that at the last minute something may come up.

The Board of Directors consists of a President, Vice-President, Secretary, Treasurer and Four Directors.  

In accordance with the AIA Bylaws:
 
Qualifications to hold office are as follows:
Each candidate must be an active professional, clinical or business member in good standing, have good communication skills, have demonstrated leadership and team building skills, must be computer literate with access to the Internet, and able to meet the time and travel commitments of the office.
 
President - 1 year term
1.  Active member in good standing for two years or more, and has previously served one full term on the AIA board.
 
Vice President - 1 year term
1.  Active member in good standing for two years or more.
 
Treasurer - 2 year term
1.  Active member in good standing for one year or more.
 
Director - 2 year term
1.  Active member in good standing for one year or more.

Responsibilities of Elected Officers 
All elected officers and directors are expected to attend board meetings and the annual meeting.
 
President (estimated time commitment: 40 hours/month)
The president is the chief executive officer and chief administrative officer and shall be responsible for the following:
 
1.  Presides at and prepares the agenda for all meetings of the Board of Directors and the annual meeting of AIA.  The President shall be the Ex-Officio member of all committees of AIA and while serving on the committee shall only vote in the event of a tie vote with said committee.
 
2.  Appoints, with approval of the Board, any position for appointed office deemed necessary to maintain the proper functioning of the business of AIA.
 
3.  Approves all expenditures up to $500.  Expenditures over $500, whether recurring or not, must be approved by the Board of Directors.
 
4.  Submits reports as determined by the Board and an annual report at the general membership meeting.
 
5.  Has such powers as are necessary for the supervision and functioning of AIA as prescribed by the Board of Directors within the scope of the bylaws of AIA.
 
6.  Conducts day-to-day business affairs of AIA in cooperation with the Board of Directors.
 
7.  Appoints representatives for special projects with the approval of the Board of Directors.
 
8.  Represents the organization before other groups or agencies or delegate to designated members.
 

Vice President (estimated time commitment 30 hours/month)
The vice president shall preside over meetings in the absence of the President and replace the President in case of the latter's inability to function in office for the duration of the unexpired term, and when so acting shall have all the powers and responsibilities of the president.
 
Have such powers as are necessary and proper as prescribed by the President and/or the Board within the scope of the bylaws of AIA.
 
 
Treasurer (estimated time commitment: 15 hours/month)
The Treasurer shall be responsible for the following:
 
1.  Financial planning and budget allocation. 
 
2.  Supervision of the general funds and accounts of AIA.
 
3.  Prepare and present periodic and annual reports of the financial status of AIA to the Board of Directors.
 
4.  Arrange to have the financial books of AIA audited annually by an independent CPA firm approved by the Board. 
 
5.  Prepare, or arrange with Board approval for preparation and filing of all tax information filings required by the IRS, state and local agencies.
 
6.  Publish the annual financial report for the membership.
 
7.  Have such other responsibilities and powers as directed by the President and/or the Board.

Directors (estimated time commitment: 20 hours/month)
The Board of Directors shall oversee the administrative business and carry out the policies of AIA including:
 
1.  Contract on behalf of AIA; enter into legal agreements; create committees; appoint chairpersons of committees; approve the budget; and appoint and remove agents and employees.
 
2.  Consider amendments to the bylaws and determine their adherents to the purposes of AIA.
 
3.  Approve use of the mailing list for purposes other than those necessary for the functioning of AIA.
 
4.  Have other powers and authority as is necessary for the proper functioning of AIA within the scope of the bylaws.
